ROYKON sells fittings and related products exclusively to business customers. No sales are made to private consumers. To purchase via the website, the company must be VAT-registered and set up as a customer with ROYKON. Creating an account is simple and can be done via the 'Create Account' menu.
The following terms and conditions of sale and delivery apply to transactions with ROYKON, with additions and deviations from NL17, which otherwise applies where not explicitly stated.
1. Drawings and Technical Documentation
ROYKON retains ownership and copyright to all technical materials, including drawings and descriptions, provided to the customer before or after agreement. The customer may not, without written permission, use or copy such material for any purpose other than proper installation, commissioning, operation, and maintenance of the delivered products. The material may not be shared with third parties.
2. Advice
ROYKON provides technical advice based on best knowledge and the information provided by the customer. The advice is indicative and does not release the customer from conducting their own assessments. ROYKON is not liable for losses if an alternative solution later proves to be more appropriate.
3. Offers and Order Confirmations
Offers are valid for 30 days unless otherwise stated. Sales are subject to prior sale. Any special requirements or specifications must be stated in writing and accepted by ROYKON. Otherwise, ROYKON’s standard products and specifications apply.
4. Prices and Payment
All prices are stated excluding VAT, freight, packaging, duties, and other charges. ROYKON reserves the right to price changes due to exchange rate fluctuations, wage, or material cost increases until payment has been received, unless otherwise agreed.
Minimum Order Fee:
Orders under €30 are subject to a €15 fee.
5. Delivery and Delay
Delivery is EXW ROYKON warehouse and at the customer’s expense and risk unless otherwise agreed. Delivery times are indicative. ROYKON aims for next-day delivery if ordered before 3:30 PM (1:30 PM Fridays); earlier cut-off times apply to freight forwarding.
Deviations in delivered quantity of up to ±10% are accepted as conforming to the agreement unless otherwise explicitly agreed. Compensation for delays is only granted if expressly agreed.
Delivery costs:
Regular packages are shipped with GLS and are charged for each shipment based on weight and volume.
Freight forwarding: Special rates apply for shipments over 30 kg, long goods, or bulky volumes. Freight includes packaging and environmental surcharge.
Pickup:
Goods can be picked up at ROYKON by prior arrangement. See 'Contact' for current opening hours.
6. Customer-Specific Molds and Tools
Molds and tools produced at the customer’s expense are stored securely by ROYKON for up to 5 years from last use. Maintenance is performed by agreement and at the customer’s expense. The customer must insure their own tools and molds.
7. Returns
Returns must be agreed upon in advance and take place no later than 14 days after delivery. Returns are accepted only for standard stock items and will be credited less a 20% fee to cover handling and restocking costs.
Items that may be returned by agreement:
- Special order items
- Opened packages
- Items delivered more than 90 days ago
Items not accepted for return:
- Damaged goods
- Discontinued items
- Clearance items (only sold while stock lasts)
Return shipping costs are the customer’s responsibility.
8. Defects and Force Majeure
ROYKON is entitled to remedy or replace defective goods within 12 months of delivery, provided timely written notice of defect is given. The customer cannot claim compensation for operating losses, lost profits, or other indirect losses (cf. NL17 §41–47).
ROYKON is not liable in cases of force majeure, in accordance with NL17 §48.
9. Product Liability
ROYKON is only liable for product damage if it can be documented that the damage is due to fault or negligence on ROYKON’s part. ROYKON is not liable for operating losses, lost profits, or other indirect losses. The customer must indemnify ROYKON for third-party claims unless ROYKON is liable under mandatory law (cf. NL17 §49–54).
10. Governing Law and Disputes
The parties’ legal relationship is governed by Danish law. Any dispute shall be settled at the Maritime and Commercial Court in Copenhagen unless otherwise agreed in writing.
